Netarise Terms of Service

    Netarise is a gamified social media platform and game developed and operated by Prime Business Systems ("Company," "we," "us," or "our"), located at 8 The Green, Dover, DE 19901, United States.

    These Terms of Service ("Terms") govern your access to and use of the Netarise platform, including the website at netarise.com, all associated features, tools, content, game mechanics, economy systems, and services (collectively, the "Platform" or "Service").

    IMPORTANT: PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING, VISITING, BROWSING, OR USING NETARISE IN ANY CAPACITY, INCLUDING VISITING THE WEBSITE, VIEWING ANY PAGE, FILLING OUT ANY FORM, CREATING AN ACCOUNT, USING ANY FEATURE, OR ENGAGING WITH ANY CONTENT, YOU AUTOMATICALLY AND UNCONDITIONALLY AGREE TO BE BOUND BY THESE TERMS OF SERVICE, OUR PRIVACY POLICY, AND ALL APPLICABLE LAWS AND REGULATIONS. IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, YOU ARE NOT PERMITTED TO ACCESS OR USE NETARISE IN ANY WAY AND MUST IMMEDIATELY CEASE ALL USE OF THE PLATFORM.

    THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER (SECTION 21) THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ THEM CAREFULLY.

    1. Acceptance of Terms

    By accessing or using Netarise, you represent and warrant that:

    • You are at least 13 years of age, or the minimum age required in your jurisdiction.
    • If you are between the ages of 13 and 15, you have obtained verifiable parental or guardian consent to use the Platform, and your parent or guardian has reviewed and agreed to these Terms on your behalf.
    • If you are between the ages of 16 and 17, you have the capacity to enter into these Terms, or your parent or guardian has agreed on your behalf.
    • You have the legal capacity to enter into a binding agreement.
    • You are not prohibited from using the Platform under any applicable law.
    • You will comply with all applicable local, state, national, and international laws and regulations.

    These Terms constitute a legally binding agreement between you and Prime Business Systems. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

    2. Account Registration and Eligibility

    2.1 Minimum Age

    You must be at least 13 years of age to create a Netarise account. We collect date of birth during registration to verify age eligibility. If we discover that a user is under 13, we will immediately terminate the account and delete all associated data.

    2.2 Parental Consent (Ages 13 to 15)

    Users between the ages of 13 and 15 require verifiable parental or legal guardian consent to create and use an account. By allowing a minor aged 13 to 15 to use Netarise, the parent or legal guardian agrees to these Terms on behalf of the minor and accepts full responsibility and liability for the minor's activity on the Platform.

    2.3 One Account Per User

    Each individual person is permitted one (1) account only, with absolutely no exceptions. Creating duplicate accounts, operating multiple accounts, allowing others to use your account, or using another person's account is strictly prohibited and will result in immediate permanent termination of all associated accounts without warning, refund, or appeal.

    2.4 Account Security

    You are solely responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account, whether or not authorized by you. You must notify us immediately at support@mail.netarise.com if you believe your account has been compromised.

    2.5 Account Information Accuracy

    You agree to provide accurate, current, and complete information during registration and to update your information as necessary to keep it accurate and current. Providing false, misleading, or fraudulent information is grounds for immediate account termination.

    3. Platform Description and Game Mechanics

    3.1 Nature of the Platform

    Netarise is a gamified social media platform that combines social networking features (profiles, posts, friends, messaging, chat rooms) with an in-game virtual economy (coins, stock prices, dividends/rewards, XP, levels, leaderboards). The Platform is designed for entertainment, social engagement, and community building.

    3.2 Virtual Currency and Economy Disclaimer

    THE NETARISE IN-GAME ECONOMY IS A GAME MECHANIC AND NOT A FINANCIAL INSTRUMENT, INVESTMENT VEHICLE, SECURITY, OR CURRENCY OF ANY KIND.

    Coins are virtual in-game tokens with absolutely zero real-world monetary value. Coins cannot be exchanged, redeemed, transferred, or converted into real currency, cryptocurrency, or any other form of real-world value under any circumstances.

    Stock prices associated with user profiles are game mechanics only. They are not securities, financial instruments, equity interests, or investments of any kind. Buying "stock" in a profile is a game action, not a financial transaction.

    Rewards (dividends) distributed through the game economy are in-game coin distributions with no real-world value. Profile values, market caps, portfolio values, and all other financial-sounding metrics on the Platform are purely game statistics with no real-world financial meaning or value.

    You acknowledge that participation in the Netarise economy does not constitute investing, trading, or any financial activity. No real money is at stake in the game economy. Optional premium subscription payments are separate from in-game currency.

    We make no guarantees about the value, stability, or persistence of any in-game assets, coins, stock prices, or economy mechanics. These may fluctuate, be modified, or be reset at any time.

    3.3 Gameplay Modifications

    The Netarise team reserves the right to add, modify, remove, adjust, or rebalance any gameplay mechanics, features, economy parameters, XP values, bonding curve settings, multipliers, algorithms, or game rules at any time, with or without notice. This includes but is not limited to:

    • Adjusting coin collection rates, streak multipliers, and level formulas.
    • Modifying the bonding curve, transaction burn rates, sell spreads, and reward distributions.
    • Adding, modifying, or removing features, leaderboard categories, and game modes.
    • Adjusting the feed algorithm and content visibility mechanics.
    • Modifying plan tier benefits, pricing, and features.

    By using the Platform, you accept that the gameplay experience is not guaranteed to remain static and will evolve as the Platform develops and grows.

    3.4 AI and NPC Behaviors

    Netarise utilizes AI-driven autonomous behaviors for NPC (non-player character) profiles, including placeholder persons, placeholder characters, and business entities. These AI behaviors influence the in-game economy by autonomously collecting coins, investing in profiles, and participating in the economy. AI behaviors are subject to change, modification, tuning, or removal at any time without notice. The Netarise team is not liable for any effects that AI-driven actions have on the game economy, your profile's stock price, your coin balance, or any other aspect of your account.

    4. Community Standards and Content Policy

    4.1 Netarise Is a Respect-First Platform

    Netarise is a politics-free, religion-free, and divisiveness-free zone. This is not a suggestion. It is a core rule of the Platform. Users come to Netarise to have a positive, gamified social experience, meet new people, and build connections. Everyone is bound to good behavior.

    Users are expected to encourage and uplift others. If people cause problems, they get removed.

    4.2 Prohibited Content and Behavior

    The following are strictly prohibited on Netarise and will result in enforcement action up to and including permanent ban:

    • Political content. Political opinions, political debates, political campaigning, political commentary, or political content of any kind.
    • Religious content. Religious proselytizing, religious debates, religious commentary, or religious content intended to persuade, divide, or provoke.
    • Hate speech. Any content that promotes, incites, or glorifies hatred, violence, or discrimination against individuals or groups based on race, ethnicity, national origin, gender, gender identity, sexual orientation, religion, disability, or any other protected characteristic.
    • Harassment and bullying. Targeted harassment, intimidation, threats, doxxing, stalking, or any behavior intended to harm, humiliate, or intimidate another person.
    • Illegal activity. Any content or behavior that violates applicable local, state, national, or international law.
    • Cheating and exploitation. Any attempt to circumvent, exploit, manipulate, or cheat the game systems, economy mechanics, or Platform features. See Section 5 for details.
    • Sexually explicit content. Pornography, sexually explicit imagery, or sexual solicitation.
    • Violence and graphic content. Graphic violence, gore, or content depicting or glorifying physical harm.
    • Spam and commercial abuse. Unsolicited advertising, spam, phishing, scams, or unauthorized commercial activity.
    • Impersonation. Impersonating another person, brand, or organization with intent to deceive.
    • Misinformation. Deliberately spreading false or misleading information intended to cause harm.

    4.3 Moderation and Enforcement

    Netarise operates a highly censored platform by design. We actively moderate content and enforce our community standards through a combination of user reporting, administrative review, and proactive monitoring.

    Enforcement actions include:

    • Warning. Issued for minor or first-time infractions.
    • Content removal. Offending posts, comments, or messages may be removed without notice.
    • Temporary suspension. Account access is restricted for a specified period.
    • Permanent ban. The account is permanently deactivated with no right of appeal or refund.

    The severity of enforcement is determined at the sole discretion of the Netarise team. Serious violations, including hate speech, threats, harassment, and illegal activity, will result in immediate permanent ban without warning.

    4.4 Chat and Message Monitoring

    We monitor all chat and messaging communications on the Platform. This monitoring is conducted to prevent illegal activity, enforce community standards, and protect user safety, particularly for our younger users ages 13 and older. Users should not share sensitive personal information in chats or messages. See our Privacy Policy for details.

    5. Fair Play and Anti-Cheating

    5.1 Prohibited Activities

    The following activities are strictly prohibited and will result in immediate account termination without refund or appeal:

    • Creating or operating multiple accounts. One account per person, no exceptions.
    • Using automated tools, bots, scripts, or software to interact with the Platform, unless the behavior is part of the Platform's own NPC/AI systems.
    • Exploiting bugs, glitches, or vulnerabilities in the Platform or game economy for personal advantage. If you discover a bug, you are expected to report it to support@mail.netarise.com.
    • Colluding with other users to manipulate stock prices, game rankings, or economy mechanics.
    • Circumventing moderation, content restrictions, bans, or suspensions through alternate accounts, proxies, or any other means.
    • Account selling, trading, or transferring accounts or in-game assets to other persons or entities.
    • Real-money trading of in-game coins, stock, or any virtual assets.
    • Reverse engineering, decompiling, or attempting to extract the source code, algorithms, or proprietary systems of the Platform.

    5.2 Right to Investigate

    We reserve the right to investigate any suspected cheating, exploitation, or Terms violations using any means available, including reviewing account activity, transaction logs, chat history, and other data. We may take enforcement action based on our investigation without being required to disclose our methods or evidence.

    6. Placeholder Profiles and Claim System

    6.1 Creating Placeholder Profiles

    Users may create placeholder profiles based on real people (placeholder persons), fictional characters (placeholder characters), and businesses (business entities). By creating a placeholder profile, you acknowledge and agree to the following:

    • You are the temporary owner of the placeholder profile. You understand that the real person a placeholder is based upon may claim the profile at any time through our claim system.
    • If a real person claims their profile, ownership will be transferred to them, and they will receive the built-up account value and contained coins. All stock shares previously purchased by other users in the placeholder profile remain intact and unchanged. Existing stockholders retain their shares, and the stock price, stockholder count, and profile value carry over to the new owner. You accept this transfer as a fundamental feature of the Platform and waive any claim to the profile or its assets upon successful transfer.
    • If the profile goes unclaimed, you may remain the owner indefinitely.
    • Placeholder profiles require admin approval before becoming publicly visible and investable.
    • The creator receives a founding stock unit upon approval as compensation for creating the profile.

    6.2 Liability for Placeholder Profiles

    Netarise and Prime Business Systems are not liable for any profiles created in the likeness of real persons. The claim system is specifically designed to provide the real person with the ability to take ownership of their placeholder profile, along with all accumulated value and coins. We provide this mechanism in good faith and are not responsible for any disputes between profile creators and claimants, any perceived misrepresentation, or any dissatisfaction with the claim process or outcome.

    7. Intellectual Property

    7.1 Platform Intellectual Property

    All intellectual property rights in and to the Netarise Platform, including the software, code, algorithms, game mechanics, economy design, bonding curve formulas, branding, trademarks, trade names, logos, visual design, UI/UX design, database structures, and all other proprietary systems, are and shall remain the exclusive property of Prime Business Systems. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited right to use the Platform in accordance with these Terms.

    7.2 User Content License

    By posting, uploading, sharing, or otherwise making available any content on Netarise, including text, photos, images, videos, profile information, and comments ("User Content"), you grant Prime Business Systems a worldwide, non-exclusive, royalty-free, transferable, sublicensable, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works of your User Content in connection with operating, promoting, and improving the Netarise Platform and Prime Business Systems' other services.

    This license survives termination of your account. You represent and warrant that you own or have the necessary rights to all content you post and that your content does not infringe the rights of any third party.

    7.3 Feedback

    Any feedback, suggestions, ideas, or recommendations you provide to us regarding the Platform may be used by us without any obligation to you, including compensation, attribution, or confidentiality.

    8. User-Generated Content and Liability

    8.1 No Responsibility for User Content

    Netarise and Prime Business Systems are not responsible for any content posted, uploaded, shared, or transmitted by users on the Platform. This includes posts, comments, messages, chat communications, profile information, photos, videos, and linked content. Views expressed by users do not represent the views of Prime Business Systems.

    8.2 Safe Harbor

    Netarise operates as a platform for user expression and interaction. We act in good faith to moderate content and enforce our community standards, but we do not and cannot review all content before it is posted. To the fullest extent permitted by applicable law, we claim protection as an interactive computer service provider and are not to be treated as the publisher or speaker of any user-generated content.

    8.3 Your Responsibility

    You are solely responsible for all content you create, post, share, or transmit through the Platform. You agree not to post content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, discriminatory, or otherwise objectionable. You are responsible for any legal consequences arising from your content.

    9. Payments, Subscriptions, and Refunds

    9.1 Premium Plans

    Netarise offers optional premium subscription plans (Bronze, Silver, Gold, Platinum) that provide enhanced features, increased coin collection, multipliers, and other benefits. Plan details and pricing are displayed on the Pricing page and are subject to change.

    9.2 Payment Processing

    All payments are processed through PBSEngine (powered by GoHighLevel), with Stripe serving as the payment processor, connected to Prime Business Systems. By making a purchase, you authorize us to charge the payment method you provide. Payment details are stored and processed by our payment processor and Stripe in accordance with their respective security standards, PCI-DSS compliance requirements, and privacy policies.

    9.3 Activation Period

    Upon purchase of a premium plan, please allow 24 to 48 hours for activation of purchased benefits. If benefits are not activated within this timeframe, contact us at support@mail.netarise.com.

    9.4 No Refunds

    All purchases are final. There are no refunds on any payments made to Netarise, including subscription payments, under any circumstances. By making a purchase, you acknowledge and agree to this no-refund policy.

    9.5 Cancellation

    Netarise subscriptions operate on a month-to-month billing cycle. To cancel your subscription, you must:

    (a) Contact us at support@mail.netarise.com with your cancellation request.

    (b) Provide at least five (5) business days' notice before your next payment date.

    If you fail to provide at least five business days' notice before your next billing date, you risk being charged for an additional month, and that charge is non-refundable. We are not responsible for charges incurred due to insufficient cancellation notice.

    Cancellation takes effect at the end of the current billing cycle. You will retain access to premium features until the end of the paid period.

    9.6 Price Changes

    We reserve the right to change subscription pricing at any time. Existing subscribers will be notified of price changes at least 30 days before the new pricing takes effect for their account.

    10. Account Termination

    10.1 Termination by Netarise

    Netarise and Prime Business Systems reserve the absolute and unconditional right to terminate, suspend, restrict, or delete any user account at any time, for any reason or for no reason, with or without notice, and with or without cause. This right exists at our sole discretion and is not subject to appeal, review, or explanation.

    Without limiting the foregoing, we may terminate your account for violations of these Terms, community standards violations, suspected cheating or exploitation, inactivity, legal requirements, or any other reason we deem appropriate.

    Upon termination:

    • Your access to the Platform will be immediately revoked.
    • Your in-game assets (coins, stock, XP, level, portfolio) have no real-world value and are forfeited.
    • Any remaining subscription time is non-refundable.
    • We may retain certain data as required by law or for legitimate business purposes.

    10.2 Termination by You

    You may request deletion of your account by contacting support@mail.netarise.com. Account deletion is permanent and cannot be reversed. Upon deletion, your profile, posts, and game data will be removed, subject to our data retention policies described in the Privacy Policy.

    11. Advertising

    Netarise is committed to a minimal advertising experience. We reserve the right to:

    • Display advertisements from select advertisers within the Platform, including in the main feed.
    • Advertise other services and products from Prime Business Systems.
    • Promote the Platform and its features through internal marketing.

    All advertising is managed internally by the Netarise team. We do not sell user data to advertisers. Advertising is controlled via our admin systems and may be enabled, disabled, or modified at any time.

    12. Affiliate Program

    12.1 Overview

    Netarise operates an affiliate program that allows approved participants ("Affiliates") to earn commission by referring new users to the Platform. Commission is calculated as a negotiated percentage of monthly recurring revenue (MRR) generated by referred users. Specific commission rates and program details are communicated on the Affiliates page of the Netarise website and may be updated from time to time.

    12.2 Application and Approval

    All affiliates must apply and be verified and approved by the Netarise team before participating in the affiliate program. Approval is at our sole discretion. We do not always accept new affiliates, particularly if we determine that we have sufficient affiliates at any given time. Submitting an application does not guarantee acceptance. We reserve the right to reject any application without providing a reason.

    12.3 Active User Requirement

    To maintain affiliate status and continue receiving MRR commission payments, affiliates must be active users of the Netarise platform themselves. An affiliate who becomes inactive on the Platform, as determined by our activity tracking systems, risks suspension or termination of their affiliate status and cessation of commission payments. We reserve the right to define the criteria for "active" status and to modify those criteria at any time.

    12.4 Code of Conduct

    Affiliates are held to a strict code of conduct and must adhere to the following requirements at all times:

    (a) White hat marketing only. Affiliates must use ethical, honest, and transparent marketing and advertising practices when promoting Netarise. All promotional content must be truthful, must not be misleading, and must clearly identify the affiliate relationship where required by applicable law, including FTC disclosure requirements.

    (b) No gray hat or black hat tactics. The following are strictly prohibited: spam in any channel (email, social media, messaging, or otherwise), misleading claims about earnings or benefits, fake reviews or testimonials, cookie stuffing, click fraud, incentivized signups that do not result in genuine users, misleading redirects, impersonation of Netarise or Prime Business Systems, purchasing ads on branded keywords without authorization, and any other deceptive, manipulative, or unethical marketing practice.

    (c) Compliance with all applicable laws. Affiliates must comply with all applicable advertising laws, regulations, and guidelines in their jurisdiction, including FTC endorsement guidelines, CAN-SPAM Act, GDPR where applicable, and any other relevant consumer protection laws.

    (d) Compliance with Platform rules. Affiliates are subject to all Netarise Terms of Service and community standards in addition to the affiliate-specific requirements in this section.

    12.5 Enforcement

    Any affiliate found to be engaging in gray hat or black hat marketing tactics, violating the code of conduct, or otherwise acting in a manner that is harmful to Netarise, its users, or its reputation will be subject to assessment and investigation by the Netarise team, suspension of commission payments pending the outcome of the investigation, termination of affiliate status with forfeiture of any unpaid commissions, and potential permanent banning from the Platform and deletion of their user account, at the sole discretion of the Netarise team.

    Decisions regarding affiliate enforcement are made at our sole discretion and are final. We are not required to provide detailed evidence or reasoning for enforcement actions taken against affiliates.

    12.6 Commission Payments

    Commission rates are individually negotiated and communicated to each approved affiliate. Netarise reserves the right to modify commission structures, payment schedules, and program terms at any time with reasonable notice to active affiliates. Commission payments are contingent on the affiliate maintaining active status, good standing, and compliance with all program requirements.

    12.7 Program Modifications and Termination

    We reserve the right to modify, suspend, or terminate the affiliate program in whole or in part at any time, for any reason. In the event of program termination, we will make reasonable efforts to pay any outstanding earned commissions to affiliates in good standing, subject to a minimum payout threshold.

    13. Service Availability and Disclaimers

    13.1 No Guarantee of Availability

    THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. We do not guarantee that the Platform will be available at all times, uninterrupted, error-free, secure, or free of viruses or other harmful components. We may take the Platform offline for maintenance, updates, or any other reason at any time without notice.

    13.2 Disclaimer of Warranties

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRIME BUSINESS SYSTEMS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

    We do not warrant that the Platform will meet your expectations or requirements, that the Platform will be uninterrupted, timely, secure, or error-free, that the results obtained from use of the Platform will be accurate or reliable, that any errors in the Platform will be corrected, or that your data will be preserved, secure, or recoverable in the event of any system failure, bug, glitch, or security incident.

    13.3 Data Loss and System Errors

    Netarise is not liable for any data loss, corruption, or inaccuracy resulting from bugs, glitches, system errors, security incidents, or any other technical issues. If you provide data to the Platform, including personal information, content, and game data, you accept that Netarise is not responsible for the safety, integrity, or availability of that data. All risk associated with providing data to and using the Platform is borne entirely by you.

    14. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRIME BUSINESS SYSTEMS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

    SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

    15. Indemnification

    You agree to indemnify, defend, and hold harmless Prime Business Systems, its officers, directors, employees, agents, contractors, affiliates, and licensors from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or relating to:

    • Your use of or access to the Platform.
    • Your violation of these Terms or any applicable law.
    • Your User Content or any content you post, upload, share, or transmit.
    • Your violation of any rights of any third party.
    • Your negligence or willful misconduct.
    • Any dispute between you and another user of the Platform.
    • Any claim related to a placeholder profile you created.

    This indemnification obligation survives termination of your account and these Terms.

    16. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Delaware for any legal proceedings not subject to arbitration.

    17. International Users

    17.1 Compliance with Local Laws

    If you access Netarise from outside the United States, you are responsible for compliance with all applicable local laws. These Terms are governed by Delaware law regardless of your location.

    17.2 Language and Moderation

    Netarise primarily operates in English. We accept users who communicate in other languages; however, non-English content will be subject to stricter moderation until we have community moderators fluent in those languages. We reserve the right to remove content in any language that we cannot adequately moderate.

    18. Fair Gameplay Commitment

    Netarise intends to provide a fair gameplay experience for all users. We actively work to ensure that the game economy, algorithms, and mechanics are balanced and equitable. Fairness is a continuous effort, however, and we reserve the right to make adjustments at any time to maintain or improve the fairness of the game.

    We do not guarantee that all users will have identical experiences, as the Platform inherently rewards engagement, consistency, and participation through its leveling, streak, and economy systems. Premium plan users receive enhanced benefits as described in their plan features.

    19. Modifications to Terms

    We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting the updated Terms on the Platform. We will update the "Last Updated" date at the top of this document. Your continued use of Netarise after any changes constitutes your acceptance of the revised Terms.

    For material changes that significantly affect your rights or obligations, we will make reasonable efforts to notify you through the Platform.

    20. Severability and Entire Agreement

    20.1 Severability

    If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the invalidity of that provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

    20.2 Entire Agreement

    These Terms, together with the Privacy Policy and any other policies or guidelines published on the Platform, constitute the entire agreement between you and Prime Business Systems regarding your use of Netarise and supersede all prior agreements, understandings, and communications.

    20.3 Waiver

    The failure of Prime Business Systems to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Prime Business Systems.

    21. Binding Arbitration and Class Action Waiver

    PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

    21.1 Agreement to Arbitrate

    You and Prime Business Systems agree that any and all disputes, claims, or controversies arising out of or relating to these Terms, the Privacy Policy, or your use of the Netarise Platform, including the validity, enforceability, and scope of this arbitration provision, shall be resolved exclusively through final and binding arbitration rather than in a court of law.

    This arbitration agreement is governed by the Federal Arbitration Act ("FAA") and applicable federal arbitration law.

    21.2 Arbitration Rules and Procedures

    Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted by a single neutral arbitrator selected in accordance with the AAA's rules.

    The arbitration shall take place in Dover, Delaware, unless both parties agree to an alternative location or to conduct the arbitration by telephone, video conference, or written submissions.

    The arbitrator shall have the authority to award any remedy that would be available in a court of competent jurisdiction, including injunctive and declaratory relief, but only to the extent necessary to provide relief warranted by the individual claim.

    21.3 Class Action Waiver

    YOU AND PRIME BUSINESS SYSTEMS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, REPRESENTATIVE, OR MULTI-PARTY PROCEEDING.

    The arbitrator may not consolidate more than one person's claims, may not preside over any form of a representative or class proceeding, and may not award relief to any person who is not a party to the arbitration.

    21.4 Jury Trial Waiver

    BY AGREEING TO ARBITRATION, YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL. You acknowledge and agree that you are voluntarily and knowingly waiving your right to trial by jury for any claims subject to this arbitration agreement.

    21.5 Exceptions to Arbitration

    Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.

    Claims related to intellectual property infringement may be brought in court rather than arbitration at either party's election.

    21.6 Costs

    Each party shall bear its own costs and attorneys' fees in arbitration. If the AAA determines that a claim is frivolous, the arbitrator may award the prevailing party's reasonable attorneys' fees and costs.

    21.7 Opt-Out Right

    You have the right to opt out of this binding arbitration provision within thirty (30) days of first accepting these Terms by sending a written notice to:

    Your opt-out notice must include your full name, Netarise username, email address associated with your account, and a clear statement that you wish to opt out of the binding arbitration provision. If you do not opt out within the 30-day period, you will be bound by this arbitration provision.
